Article 1 — Definitions

• Oro Estate: the trade name of [legal entity], registered with the Dutch Chamber of Commerce under number [registration number], with offices in Aalsmeer (Netherlands) and Marbella (Spain).
• Client: the natural person or legal entity that uses Oro Estate’s services or creates an account.
• Services: all forms of guidance, advice and brokerage in searching for and purchasing a property in Spain, including the member portal and its features.
• Property: the real estate in Spain shown, viewed or purchased through Oro Estate.
• Partner: an external estate agent, property developer, legal adviser, financier or other service provider with whom Oro Estate cooperates.

Article 2 — Applicability

These terms apply to every offer, service and agreement between Oro Estate and the Client, unless expressly agreed otherwise in writing.

Deviations from these terms are only valid when confirmed in writing by Oro Estate.

If any provision of these terms is void or voidable, the remaining provisions remain in full force.

Article 3 — Our services

Oro Estate guides and advises buyers in finding and purchasing a property in Spain. We act as an independent buying agent and represent the buyer’s interest.

Our services constitute a best-efforts obligation and not an obligation to achieve a result. We cannot guarantee that a suitable property will be found or that a transaction will take place.

Information about properties, such as prices, surface areas, yield indications and photos, originates from third parties such as sellers and partners. Oro Estate strives for accuracy but cannot guarantee the completeness and timeliness of this information.

Article 4 — Account and member portal

For certain parts of our services you create an account. You are required to provide accurate and complete information and to keep it up to date.

You are responsible for keeping your login details confidential and for all actions taken through your account.

Oro Estate may suspend or terminate an account in the event of misuse, fraud or breach of these terms.

Article 5 — Viewings and trips

Oro Estate may organise viewings and viewing trips in Spain. Unless agreed otherwise in writing in advance, travel, accommodation and incidental costs are borne by the Client.

The Client is responsible for valid travel documents, insurance and timely compliance with agreed appointments.

Article 6 — Cooperation with partners

For the actual purchase, legal handling, financing and notarial matters, Oro Estate cooperates with local partners. Agreements on these matters are concluded directly between the Client and the relevant partner.

Oro Estate is not a party to those agreements and is not liable for the performance, quality or fulfilment of services by partners.

Article 7 — Fees and payment

The fee for our services is agreed with the Client in advance. Depending on the service, this may be free of charge for the buyer or based on a fixed fee or commission.

Invoices are sent electronically and must, unless stated otherwise, be paid within 14 days of the invoice date.

All amounts are in euros and, where applicable, exclusive of VAT and other government levies.

Article 8 — Liability

Oro Estate is liable only for direct damage resulting from an attributable failure. Liability for indirect damage, including consequential loss, lost profit and missed savings, is excluded.

Oro Estate’s total liability is limited to a maximum of the amount the Client has paid for the relevant service.

Oro Estate is not liable for damage arising from acts or omissions of partners or other third parties, nor for damage due to force majeure.

Article 9 — Intellectual property

All rights to the website, the member portal, texts, imagery, the logo and the visual identity belong to Oro Estate or its licensors. Use, copying or distribution without prior written permission is not permitted.

Article 10 — Privacy

Oro Estate processes personal data in accordance with applicable law. How we handle your data is explained in our Privacy Policy.

Article 11 — Complaints

Do you have a complaint about our services? Please let us know within a reasonable period via info@oroestate.nl. We aim to provide a substantive response within 14 days.

Article 12 — Governing law and disputes

Dutch law applies to these terms and to all agreements with Oro Estate.

Disputes will be submitted to the competent court in the district of [district], unless mandatory law provides otherwise.
